TERM OF SERVICES

These Terms of Service (“Terms”) govern the access to, and use of the platform provided by Propviss Technology Sdn. Bhd. (“Propviss”, “we”, “us” or “our”), including the agent dashboard, listing management system, customer relationship management tools, and any websites, pages, or digital assets created, powered, hosted, or managed by Propviss for or on behalf of agents, whether under a shared domain or custom domain (collectively, the “Platform”), by any real estate agent, negotiator, agency, or representative (collectively, the “Agent” or “you”).

By registering for, signing up, accessing, or using the Platform, the Agent acknowledges that it has read, understood, and agreed to be bound by these Terms and the Propviss Privacy Policy.

1. Eligibility and Authority

1.1 The Agent represents and warrants that it is duly authorized to act in the marketing and handling of real property in Malaysia, including where applicable, being registered with the Board of Valuers, Appraisers, Estate Agents and Property Managers (BOVAEP), and that it holds all necessary approvals, licenses, consents, and authority to market, advertise, and deal with all properties listed on the Platform.

2. Nature of the Platform

2.1 Propviss provides a technology-enabled platform and related marketing services for the creation, listing, hosting, promotion, distribution, and management of property listings, as well as the generation and facilitation of enquiries and Leads, the operation of agent websites, and the provision of related tools, services, and functionalities that support real estate marketing, co-broking, and collaboration.

2.2 Propviss acts solely as a technology and marketing platform provider and, where applicable, as a lead provider. Propviss does not act as an estate agent, negotiator, broker, stakeholder, trustee, fiduciary, or other intermediary in relation to any transaction or dealing between the Agent and any user, property owner, purchaser, tenant, developer, or other third party.

3. Account and Access

3.1 The Agent shall be responsible for maintaining the confidentiality of its account credentials and for all activities conducted through its account. Each account is strictly for use by a single Agent, and account sharing is prohibited.

4. Listings and Content

4.1 The Agent shall ensure that all listings, descriptions, images, videos, pricing information, and other related materials uploaded to the Platform are accurate, complete, current, lawful, and not misleading.

4.2 The Agent shall not publish false, outdated, manipulated, or misleading property information or pricing; upload images or videos that are fake, altered, stolen, unrelated, or misleading; misrepresent property details; or publish listings without proper authorization.

5. Intellectual Property and Content Rights

5.1 The Agent retains ownership of all intellectual property rights in and to the Content submitted to the Platform.

5.2 The Agent grants Propviss a perpetual, worldwide, irrevocable, non-exclusive, transferable, sub-licensable, and royalty-free license to use, host, store, reproduce, modify, adapt, publish, translate, display, distribute, and otherwise exploit such Content in connection with the Platform and related services.

6. Listing Distribution, Co-Broking and Management

6.1 The Agent acknowledges that any Content submitted to the Platform may be displayed, distributed, replicated, or made accessible to other agents using the Platform.

7. Enquiries and Leads

7.1 The Platform may generate or facilitate enquiries, leads, and user interactions through the Platform and any websites, pages, or digital assets created, powered, hosted, or managed by Propviss.

8. New Launch Listings

8.1 Propviss may create, manage, and control master listings for new property developments or project launches to ensure the accuracy, consistency, and quality of information.

9. Data Collection and Use

9.1 The Agent acknowledges that Propviss may collect, use, process, analyze, retain, and reuse data generated through the Platform for analytics, market insights, platform improvement, product development, user matching, marketing, advertising, and commercialization.

10. Personal Data Compliance

10.1 The Agent represents and warrants that all Personal Data collected or processed through the Agent’s use of the Platform has been obtained and processed in compliance with applicable laws, including the Personal Data Protection Act 2010.

11. Use of Cookies, Pixels and Tracking Technologies

11.1 Propviss may use cookies, tracking pixels, web beacons, and other similar technologies for operational, analytical, security, product development, marketing, advertising, and other legitimate business purposes.

12. Fees and Payments

12.1 The Agent agrees to pay all applicable fees and charges for the use of the Platform. All fees paid shall be non-refundable unless otherwise expressly stated by Propviss in writing.

13. Professional Conduct

13.1 The Agent shall act professionally, honestly, ethically and comply with all applicable laws, regulations, and professional standards.

14. Non-Circumvention

14.1 The Agent shall not bypass or circumvent the Platform or any arrangement made through the Platform for the purpose of avoiding fees, commissions, obligations, or platform rules.

15. Confidentiality

15.1 The Agent shall treat all information, data, communications, Leads, listings, and materials obtained through the Platform as confidential.

16. Platform Usage and Fair Use

16.1 The Platform is provided solely for legitimate real estate business purposes. The Agent shall not use the Platform in any unlawful, abusive, or harmful manner.

17. Indemnity

17.1 The Agent shall be fully responsible and liable for all actions, omissions, and conduct in connection with its use of the Platform.

18. Limitation of Liability

18.1 To the fullest extent permitted by law, Propviss shall not be liable for any direct, indirect, incidental, consequential, special or punitive damages arising out of or in connection with the use of the Platform.

19. Platform Rights and Administration

19.1 Propviss reserves the right to review, edit, restrict, hide, remove, reprioritize, modify, suspend, discontinue, update or otherwise change any Content, listing, account, feature, service, subscription plan, pricing, design, or functionality of the Platform.

20. Force Majeure

20.1 Propviss shall not be liable for any failure or delay in performance caused by events beyond its reasonable control.

21. No Guarantee of Results

21.1 The Platform does not guarantee any specific results, including Leads, transactions, commissions, or business outcomes.

22. Agent Disputes

22.1 Any dispute between Agents shall be resolved between the parties involved. Propviss shall not be a party to such disputes.

23. Suspension and Termination

23.1 Propviss reserves the right to suspend, restrict, or terminate any Agent account or access to the Platform for any reason at any time.

24. Relationship of Parties

24.1 Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, employment, or similar relationship between Propviss and the Agent.

25. Amendments

25.1 Propviss reserves the right to modify or update these Terms at any time.

26. Governing Law

26.1 These Terms shall be governed by and construed in accordance with the laws of Malaysia.

27. Severability

27.1 If any provision of these Terms is invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

28. Waiver

28.1 No failure or delay by Propviss in exercising any right or remedy shall operate as a waiver.
